These Terms of Service (“Terms”) govern your access to and use of the Chathood platform, website, and related services (“Service”), owned and operated by Cloudhood Private Limited (“Company”), operating under the brand name Chathood. By accessing or using our Service, you (“Customer”, “User”, or “Client”) agree to be bound by these Terms.

1. About Chathood & Cloudhood Private Limited

Chathood is a unified customer engagement platform built on secure open-source foundations with proprietary enhancements managed by Cloudhood Private Limited (CIN: U62099DL2025PTC458694). The platform enables businesses to manage messaging across:

• WhatsApp Business API (WABA)
• Instagram Messaging
• Facebook Page Inbox
• Website chat, email, and other integrations

Chathood’s infrastructure, security, product development, and data protection processes are maintained by Cloudhood Private Limited.

2. Eligibility & Account Requirements

• You must be at least 18 years old.
• You must represent a legitimate business or organization.
• You agree to provide accurate registration information.
• You are responsible for safeguarding login credentials.

3. Acceptable Use

You agree NOT to use Chathood for:

• Sending spam or unauthorized bulk messaging.
• Violating WhatsApp, Instagram, or Facebook Platform Policies.
• Fraud, phishing, harassment, or unlawful activities.
• Reverse-engineering or misusing the platform or APIs.

Chathood may suspend or terminate accounts found violating acceptable use requirements.

4. Use of Meta Platforms (WhatsApp, Instagram, Facebook)

When connecting Meta assets (Facebook Page, Instagram Business Account, WhatsApp Business API), you authorize Chathood and Meta to exchange necessary account data and messages as required to operate the Service.

You agree to comply with:

• WhatsApp Business Terms of Service
• Instagram Messaging & Graph API Policies
• Facebook Platform Terms

5. Data Ownership & Processing

5.1 Your Data

You retain full ownership of all messages, contacts, media, and business data processed through Chathood. Chathood processes your data only to provide the Service.

5.2 Cloudhood Private Limited Responsibilities

Cloudhood Private Limited ensures:

• Secure data storage on encrypted servers
• Role-based access controls
• Regular backups & disaster recovery measures
• No selling or sharing of customer data with advertisers

5.3 Third-Party Integrations

Integrations such as Meta APIs may store or process data under their respective policies.

6. Payments & Billing

Subscription fees, onboarding costs, and messaging usage charges (including WhatsApp Conversation charges) must be paid on time. Non-payment may result in restricted account access.

7. Service Availability

We strive for uninterrupted service, but we cannot guarantee 100% uptime due to maintenance, updates, and third-party API dependencies.

8. Limitation of Liability

To the fullest extent permitted by law, Cloudhood Private Limited (Chathood) is not liable for:

• Indirect or incidental damages
• API outages caused by Meta or telecom providers
• Losses due to user misconfiguration or policy violations
• Unauthorized access resulting from weak user passwords

9. Termination

Chathood may suspend or terminate access for violations, non-payment, or harmful use. Users may request account deletion anytime.

10. Governing Law

These Terms are governed by the laws of India. Legal jurisdiction shall fall under New Delhi, India where Cloudhood Private Limited is registered.

11. Changes to Terms

We may update these Terms periodically. Continued use of Chathood after updates constitutes acceptance.
